Terms of Service

Please read these terms carefully before using LINGUAE

1. Acceptance Of Terms

By downloading, installing, accessing, or using Linguae ("Linguae", "the Application", "the Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use Linguae.

You accept these Terms and the Privacy Policy during onboarding before using the desktop application.

2. Service Description

Linguae is an offline-first desktop application for professional document translation.

Key features may include:

  • local document translation on your device;
  • support for formats such as PDF, DOCX, PPTX, XLSX, TXT, Markdown, and related document-processing workflows;
  • local translation models and downloaded model management;
  • translation memory, glossaries, batch translation, and quality comparison features depending on your license tier;
  • license activation, billing, credit bundles, Enterprise organization management, and optional analytics through online services.

Normal document translation is processed locally. Linguae does not require your document content to be uploaded to our servers for normal translation.

3. License Tiers And Features

Feature availability may change over time, but the current product model is:

3.1 Free Tier

  • 10 documents per month.
  • 100 pages per document.
  • 5 MB maximum file size.
  • Standard translation engine.
  • Bundled domain glossaries where supported.
  • Optional pay-per-document credit bundles.
  • Community or self-serve support.

3.2 Pro Tier

  • $9.99/month or $99.99/year, unless a different price is shown at checkout.
  • Unlimited documents and pages, subject to fair use and technical limits.
  • 50 MB maximum file size.
  • Standard and Premium translation engines.
  • Translation memory.
  • Domain glossaries.
  • Batch translation and quality analysis where available.
  • Email or standard support.

3.3 Enterprise Tier

  • Custom quote through contact sales.
  • Unlimited documents and pages, subject to the applicable Enterprise agreement and technical limits.
  • 200 MB maximum file size unless otherwise agreed.
  • Pro features plus Enterprise organization, org-admin portal, seat management, and custom commercial terms.
  • API access, priority support, service levels, or custom model terms may be included only if agreed in the Enterprise quote or contract.

4. Credit Bundles

Credit bundles are optional one-time purchases for additional Free-tier document translations. They are not Pro subscriptions and do not unlock Pro or Enterprise features.

Credit bundles may be tied to a device or machine identity for fraud prevention and to prevent credit sharing. Credits may be limited by document count, expiration, device binding, and technical validation.

Unless required by law or expressly stated at purchase, unused credits are not cash, are not transferable, and are not redeemable for money.

5. Payments, Billing, And Refunds

Payments are processed by Stripe. By purchasing a paid plan or credits, you agree to Stripe's payment flow and any terms shown at checkout.

  • Pro subscriptions may be billed monthly or annually and renew automatically unless cancelled.
  • Enterprise purchases may be handled through custom quotes, Stripe Payment Links, invoices, or a separate written agreement.
  • You can manage eligible subscriptions through the billing portal or application settings where available.
  • Prices may change in the future. For active subscriptions, we will provide notice where required by law or by the payment provider.
  • Refunds are not guaranteed except where required by law. We may provide refunds at our discretion, especially for verified technical issues.
  • Fees are exclusive of taxes unless stated otherwise.

6. User Responsibilities

You agree to:

  • use Linguae only for lawful purposes;
  • maintain the confidentiality of your license key and account credentials;
  • not share, sell, lease, sublicense, or transfer your license except as expressly permitted;
  • not circumvent license restrictions, usage limits, device binding, credit validation, or security controls;
  • not reverse engineer, decompile, disassemble, modify, or tamper with Linguae except where such restriction is prohibited by applicable law;
  • not use Linguae to process content that you do not have the right to process;
  • not use Linguae to create or distribute unlawful, harmful, abusive, infringing, or malicious content;
  • comply with applicable laws, including privacy, intellectual property, export, professional, and industry-specific rules.

7. Your Documents And Translations

You retain all rights to your documents, input content, translation memory, and translation outputs.

Linguae does not claim ownership over content you process with the Application.

You are responsible for:

  • ensuring you have the right to translate the content;
  • reviewing and validating translations before use;
  • deciding whether translations are appropriate for your intended purpose;
  • maintaining your own backups of local files, models, settings, translation memory.

8. Translation Quality And Professional Use

Linguae uses AI and machine translation. Translations may contain errors, omissions, formatting problems, terminology mistakes, hallucinations, or inaccurate meaning.

You must review translations before relying on them, especially for:

  • legal documents;
  • medical, health, or safety-related content;
  • financial, tax, or accounting documents;
  • immigration, government, or court filings;
  • contracts or regulated professional work;
  • any situation where an inaccurate translation could cause harm.

Linguae is not a substitute for a qualified professional translator, lawyer, doctor, accountant, or other professional reviewer.

9. Intellectual Property

Linguae and its software, design, branding, and related materials are owned by Linguae Technologies Inc. or licensed to us. The Application is licensed, not sold.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use Linguae for your own lawful purposes.

Linguae includes open-source components and translation models. Open-source notices are available in https://linguae.app/credits.

10. Privacy

Your use of Linguae is also governed by the Privacy Policy. The Privacy Policy explains that normal document translation is local and describes what online data is processed for licensing, payments, credits, Enterprise, admin, support, and website analytics. Where consent is required for website analytics, those analytics are intended to run only after user acceptance.

11. Availability, Updates, And Changes

We may update, improve, suspend, or discontinue parts of Linguae at any time.

Some features may require:

  • internet access;
  • an active license;
  • downloaded local models;
  • third-party service availability;
  • compatible operating system and hardware;
  • updated application versions.

We do not guarantee that every feature will be available at all times or on every device.

12. Termination

You may stop using Linguae at any time. You may cancel eligible subscriptions through the billing portal or other available subscription-management flow.

We may suspend or terminate access if you violate these Terms, fail to pay, misuse the Service, attempt to bypass restrictions, create security risk, or if required by law.

Termination does not remove your obligation to pay amounts already due or affect provisions that by their nature should survive, including ownership, disclaimers, limitation of liability, and governing law.

13. Disclaimer Of Warranties

To the maximum extent permitted by law, Linguae is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.

We do not warrant that:

  • translations will be accurate, complete, or suitable for your purpose;
  • formatting will always be perfectly preserved;
  • the Application will be uninterrupted, secure, or error-free;
  • all models or third-party services will remain available;
  • every file will be compatible or translatable.

Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.

14. Limitation Of Liability

To the maximum extent permitted by law, Linguae Technologies Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, business interruption, translation errors, professional reliance, or loss of goodwill.

To the maximum extent permitted by law, our total liability for all claims related to Linguae will not exceed the amount you paid to Linguae for the Service in the 12 months before the event giving rise to the claim, or CAD $100 if you paid nothing.

15. Indemnity

You agree to defend, indemnify, and hold harmless Linguae Technologies Inc. from claims, damages, liabilities, costs, and expenses arising from your unlawful use of Linguae, your violation of these Terms, your content, or your infringement of third-party rights.

16. Changes To These Terms

We may update these Terms from time to time. The updated version will show a new effective date. For material changes, we may provide additional notice through the website, the Application, or email where appropriate.

Your continued use of Linguae after the updated Terms become effective means you accept the updated Terms.

17. Governing Law

These Terms are governed by the laws of Quebec and the applicable laws of Canada, without regard to conflict-of-law principles.

Unless applicable law requires otherwise, disputes will be resolved by the competent courts in Montreal, Quebec, Canada.
